US cannabis wholesale platform Nabis announced on 4 May that it is acquiring Hudson Distribution Services’ New Jersey cannabis distribution licence and warehouse lease, marking the company’s entry into its fourth US state market.
The deal extends Nabis’ footprint beyond California, Nevada and New York, with the New Jersey wholesale platform expected to launch in the second half of 2026.
Under the terms of the transaction, Nabis will acquire Hudson’s state-issued cannabis distribution licence and the existing warehouse lease, allowing it to enter New Jersey without a costly ground-up facility build.
Meanwhile, Hudson Distribution will become a shareholder in Nabis’ New Jersey operation via a seed investment, the companies said.
Financial terms of the deal were not disclosed.
Nabis says its platform currently powers more than $1bn in annual cannabis commerce across the three states it operates in, providing licensed brands and retailers with real-time inventory visibility, automated payments and financing tools through what it calls the Nabis Marketplace.
“Entering New Jersey gives Nabis the infrastructure to help scale our brand and retail partners in an exciting and growing market they’ve been waiting to access,” said Vince C. Ning, chief executive and co-founder of Nabis.
James S. Cohen, chief executive of Hudson Distribution, added: “We know distribution and logistics, and so we know that Nabis is the best choice to provide continuity to the burgeoning cannabis distribution channel.”
The deal positions Nabis in the densely populated tri-state region as US lawmakers continue to debate a federal interstate commerce framework that would, for the first time, allow legal cannabis to move across state lines.
New Jersey’s adult-use market, which launched in April 2022, has continued to expand and is widely viewed as one of the East Coast’s most important growth markets. The Nabis deal underscores a broader trend in US cannabis M&A, where licence-led acquisitions and infrastructure tie-ups are increasingly favoured over the headline-grabbing equity mergers that defined the previous wave of consolidation.
